INSPIREME PAY
TERMS OF SERVICE
These Terms of Service ("Terms") govern your access to and use of the InspireMe Pay platform, including our website, dashboards, payment links, QR codes, virtual accounts, invoicing, wallet, payroll and loan features (the "Service").
1. Who we are
InspireMe Pay is a Nigerian technology company. We provide the software layer organizations use to collect, track and reconcile payments. Payment processing, dedicated virtual accounts and settlement are provided by our licensed partners, Flutterwave and Safe Haven MFB, both licensed by the Central Bank of Nigeria.
InspireMe Pay is not a bank. We do not accept deposits, we do not lend, and we are not a deposit-taking or e-money institution. Funds collected through the Service are processed and settled by our licensed partners and are not customer deposits held by InspireMe Pay.
2. Eligibility and your organization
You must be at least 18 years old and authorized to act for the organization you register. By creating an organization account you confirm that the information you provide is accurate and that you have authority to bind that organization to these Terms. Where the organization is a registered company or incorporated body, we may require your registration details.
3. Your account and access
You are responsible for the security of your login credentials, PIN and devices, and for the actions of the staff you invite to your organization. Tell us immediately if you suspect unauthorized access. We may require additional authentication, such as a one-time code, for logins and sensitive actions.
4. Identity verification (KYC) and compliance
We are required to identify the organizations and people who use the Service. You agree to complete our KYC process and to provide accurate documents and details, which may include CAC registration, a valid ID, address proof, NIN, BVN, business and owner information, and bank account details. We may verify this information with registries, our licensed partners and verification providers, ask for further information, and decline, suspend or close an account that fails verification or that we cannot lawfully serve. Our anti-money-laundering, screening and transaction-monitoring practices are described in our Compliance & Regulatory document.
5. Fees and charges
Fees are shown before a transaction is completed. Our platform charge applies to payments made through payment links and virtual accounts, VAT applies where applicable, and a settlement fee is deducted from payouts. Rates are published in your dashboard and in admin settings. We may change rates with notice, and continued use after a change means you accept the new rates.
6. Settlement
You may request a settlement payout to the bank account registered to your verified organization. Settlement requests are processed through our licensed partners and typically reach your bank within one business day of approval, subject to the partner's processing windows, bank cut-off times, and the account name matching your verified organization name. We may hold or delay a settlement where we are required to by law, by a regulator or by our licensed partner, or where a transaction is under investigation.
7. Wallet
Any wallet balance shown in the Service is an operational balance you use to make payments on the platform. It is not a bank account, it is not a deposit, it does not earn interest, and it is not insured by the Nigeria Deposit Insurance Corporation (NDIC).
8. Payroll, loans and statutory deductions
Where payroll or loan features are enabled for your organization, they operate on your instructions and through our licensed partners, and are additionally subject to their terms and to applicable law, including pension and tax obligations. InspireMe Pay does not provide lending, investment or financial advice, and does not fund loans from customer balances.
9. Prohibited use
You must not use the Service for anything prohibited in our Acceptable Use Policy, including fraud, money laundering, terrorism financing, unlicensed financial services, or any unlawful activity.
10. Your data
Our Privacy Policy explains what we collect and why. By using the Service you confirm that you have the right to share with us the personal data of your staff, customers, parents, students and beneficiaries that you upload, and that you have given them the required notices.
11. Suspension and termination
We may suspend or close an account, or hold a settlement, where we reasonably believe these Terms or applicable law have been breached, where we are directed by a regulator or licensed partner, or to protect the platform and other users. You may close your account at any time. Obligations that by their nature survive, such as record-keeping, fees already incurred and dispute handling, continue to apply.
12. Liability
The Service is provided with reasonable skill and care. We are not the provider of banking, card or transfer services and we are not liable for the acts, omissions or processing timelines of our licensed partners, banks or payment schemes. To the extent permitted by law, our liability for a claim relating to the Service is limited to the fees we earned on the transaction giving rise to that claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Complaints and disputes
Please contact us first through in-app support or the contact form on our website. Our Refund & Dispute Resolution document sets out what to include, our response times, and how to escalate a complaint to the Consumer Protection Department of the Central Bank of Nigeria if you are not satisfied.
14. Changes
We may update these Terms to reflect changes in the Service, our partners or the law. The version and date are shown on this page, and material changes are notified in the app or by email.
15. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction.
